To file an amendment for your domestic New Mexico Corporation, submit Form DPR-AM, Articles of Amendment to the Articles of Incorporation and one duplicate copy to the New Mexico Public Regulation Commission (PRC). The form is available online (see link below).
To file and amendment for your foreign corporation in New Mexico, submit Form FPR-AM, Application for Amended Certificate of Authority and one duplicate copy to the PRC. The form is available online (see link below). If you are changing the corporate name, include an original certificate of filing authenticated by the custodian of records in the home state.
The form you need is already in your online account when you sign up for registered agent service with Northwest.
You may restate your New Mexico Corporation’s Articles of Incorporation. But they can only include the provisions in the Articles of Incorporation as previously amended. You may not include a new amendment.
The filing fee for Restated Articles of Incorporation is the same as that for Articles of Amendment.
A corporation must file an amendment to its Articles of Incorporation to change its corporate name; period of duration; corporate purpose; or number of authorized shares. It may make other changes, so long as the Amended Articles of Incorporation contain only provisions that may be lawfully contained in Articles of Incorporation. It is not necessary to file Articles of Amendment for the purpose of changing the registered office address or registered agent, or to change the names and addresses of the officers or directors of the corporation.
To amend your foreign corporation in New Mexico, there is a filing fee of $50.
There are two different fee structures for domestic New Mexico corporations.
If you are not amending to increase the total amount of authorized shares, there is a $100 filing fee.
If you are amending to increase the total amount of authorized shares, calculate the difference between the increase shares and the current number of shares, and apply to that difference. Take the difference and apply the rate of $1 for each 1,000 shares to determine the filing fee.
Example: proposed increase is 1,000,000 shares and the current number of shares is 100,000; 1,000,000 – 100,000 = 900,000; 900,000 ÷ 1,000 = 900; 900 x $1 = $900 filing fee.
The fee for increasing shares will never be less than $100 or more than $1000.
The state takes up to 15 business days to process a New Mexico corporation amendment.
The New Mexico PRC will return the duplicate copy and a Certificate of Amendment for the corporations records.
